Please read these Terms of Service ("Terms") carefully before using the website at hygotechnology.com or engaging HYGO Technology for software development services.
HYGO Technology ("HYGO", "we", "us", or "our") is a software development and information technology company incorporated in India, with its registered office at B-303, 9 Square Om Decora, Nana Mava Circle, Rajkot, Gujarat – 360005.
By accessing our website or engaging our services, you ("Client", "you", or "your") agree to be bound by these Terms. If you do not agree, please do not use our website or services.
1. About HYGO Technology
HYGO Technology is a custom software engineering company. We build software platforms, mobile applications, web applications, APIs, and digital infrastructure from zero for businesses, startups, and enterprises. We do not sell off-the-shelf products — every engagement involves custom-built technology tailored to the client's specific requirements.
2. Website Use
2.1 Permitted Use
You may use our website for lawful purposes only — including to learn about our services, review our work, and contact us regarding a potential engagement. You may not use our website:
- For any unlawful purpose or in violation of applicable Indian or international law
- To transmit any harmful, offensive, or disruptive content
- To attempt to gain unauthorised access to our systems or servers
- To scrape, copy, or reproduce our website content without written permission
- To impersonate HYGO Technology or any of its team members
2.2 Intellectual Property
All content on this website — including text, design, graphics, code, product names, logos, and case study materials — is the intellectual property of HYGO Technology and is protected under applicable Indian intellectual property laws including the Copyright Act, 1957 and the Trade Marks Act, 1999.
You may not reproduce, distribute, or use any content from this website without our prior written consent.
2.3 Website Availability
We strive to keep our website available at all times but do not guarantee uninterrupted access. We reserve the right to suspend, modify, or discontinue the website or any part of it without notice.
3. Services and Engagement
3.1 Nature of Services
HYGO Technology provides custom software development services including but not limited to:
- Mobile application development (iOS, Android, cross-platform)
- Web application and platform development
- API development and third-party integrations
- Cloud infrastructure and DevOps
- UI/UX design
- Software support and maintenance
- Healthcare software including EMR, pharmacy, and laboratory systems
All services are delivered on a project or retainer basis, subject to a separate written agreement (Statement of Work, Master Services Agreement, or equivalent) signed between HYGO Technology and the Client.
3.2 Project Agreements
These Terms govern general website use and serve as a baseline for all engagements. Specific project terms — including scope, deliverables, timelines, pricing, payment schedule, and acceptance criteria — are defined in a separate written agreement for each project. In the event of any conflict between these Terms and a project agreement, the project agreement shall prevail.
3.3 Client Responsibilities
The Client agrees to:
- Provide accurate, complete, and timely information required for the project
- Review and provide feedback on deliverables within agreed timelines
- Ensure that any content, data, or materials provided to HYGO Technology do not infringe any third-party intellectual property rights
- Designate a primary point of contact for the project
3.4 Acceptance of Deliverables
Deliverables shall be deemed accepted if the Client does not raise written objections within the review period specified in the project agreement, or within 7 business days if no period is specified.
4. Intellectual Property and Ownership
4.1 Client-Owned Deliverables
Upon receipt of full payment for a project, HYGO Technology assigns to the Client all intellectual property rights in the custom-developed software deliverables created specifically for that project, unless otherwise agreed in the project agreement.
4.2 HYGO-Retained IP
HYGO Technology retains ownership of:
- All pre-existing tools, frameworks, libraries, methodologies, and know-how used in delivering the project
- Internal development tools and proprietary processes
- Any open-source components used, which remain subject to their respective licences
4.3 Open Source Components
Our software may incorporate open-source libraries and components. These are subject to their respective open-source licences. HYGO Technology will disclose the use of any significant open-source components in the project agreement or technical documentation.
4.4 Portfolio Rights
HYGO Technology reserves the right to reference the existence of a completed project in our portfolio, case studies, and marketing materials unless the Client has requested confidentiality in writing.
5. Payment Terms
5.1 Fees
Project fees are agreed upon in the project agreement. All fees are quoted in Indian Rupees (INR) unless otherwise specified. Applicable taxes including GST will be added to all invoices.
5.2 Payment Schedule
Payment schedules are defined per project agreement. Typical arrangements include milestone-based payments or monthly retainer payments. HYGO Technology reserves the right to pause work if payments are not received within the agreed timelines.
5.3 Late Payments
Payments not received within 15 days of the due date may attract interest at 1.5% per month on the outstanding amount. HYGO Technology reserves the right to suspend services for non-payment.
5.4 Refunds
Due to the custom nature of our work, fees paid for completed milestones or work already delivered are non-refundable. Disputes regarding deliverables should be raised within the review period as specified in the project agreement.
6. Confidentiality
Both parties agree to keep confidential all non-public information shared during the course of an engagement, including business plans, technical specifications, client data, pricing, and project details. This obligation survives termination of the engagement for a period of 3 years.
HYGO Technology will not disclose client information to any third party except as required to deliver the agreed services or as required by law.
7. Data Protection
HYGO Technology handles all personal data in accordance with our Privacy Policy (hygotechnology.com/privacy) and applicable Indian data protection laws including the Information Technology Act, 2000 and SPDI Rules, 2011. Where projects involve processing of end-user personal data on behalf of the Client, a separate Data Processing Agreement may be required.
8. Warranties and Representations
8.1 HYGO Technology Warrants That:
- It has the right and authority to enter into agreements and provide the services described
- Services will be performed with reasonable skill, care, and diligence
- Deliverables will materially conform to the agreed specifications at the time of delivery
8.2 Client Warrants That:
- It has the right and authority to enter into agreements with HYGO Technology
- All information, content, and materials provided are accurate and do not infringe any third-party rights
- It will use the delivered software in compliance with all applicable laws
8.3 Disclaimer
Except as expressly stated in these Terms or a project agreement, HYGO Technology provides its services "as is" and makes no other warranties, express or implied, including warranties of fitness for a particular purpose or uninterrupted operation of delivered software after handover.
9. Limitation of Liability
To the maximum extent permitted by applicable Indian law:
- HYGO Technology's total liability for any claim arising out of or in connection with a project shall not exceed the total fees paid by the Client for that specific project in the 3 months preceding the claim.
- HYGO Technology shall not be liable for any indirect, consequential, incidental, or special damages including loss of profit, loss of data, or business interruption.
- HYGO Technology shall not be liable for delays or failures caused by circumstances beyond our reasonable control (force majeure) including natural disasters, government actions, internet outages, or third-party service failures.
10. Termination
10.1 Termination by Client
The Client may terminate a project engagement by providing 30 days written notice. The Client shall pay for all work completed up to the termination date, including any partially completed milestones as assessed by HYGO Technology.
10.2 Termination by HYGO Technology
HYGO Technology may terminate an engagement immediately if:
- The Client fails to make payment within 30 days of the due date
- The Client materially breaches these Terms or the project agreement
- Continuing the engagement would require HYGO Technology to violate applicable law
10.3 Effect of Termination
Upon termination, HYGO Technology will deliver all completed work product to the Client upon receipt of all outstanding payments. Each party shall return or destroy the other party's confidential information.
11. Dispute Resolution
11.1 Informal Resolution
In the event of any dispute, the parties agree to first attempt to resolve the matter informally by written notice to the other party, allowing 30 days for good-faith negotiation.
11.2 Arbitration
If informal resolution fails, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 of India. The seat of arbitration shall be Rajkot, Gujarat. The language of arbitration shall be English.
11.3 Governing Law
These Terms are governed by the laws of India. Subject to the arbitration clause above, the courts of Rajkot, Gujarat shall have exclusive jurisdiction over any disputes.
12. General Provisions
12.1 Entire Agreement
These Terms, together with any applicable project agreement, constitute the entire agreement between the parties regarding the subject matter herein and supersede all prior discussions, representations, or agreements.
12.2 Amendments
HYGO Technology reserves the right to update these Terms at any time. Updated Terms will be posted on this page with a revised "Last updated" date. Continued use of our website or services after changes constitutes acceptance.
12.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
12.4 Waiver
Failure by either party to enforce any provision of these Terms shall not constitute a waiver of the right to enforce that provision in the future.
12.5 Assignment
The Client may not assign any rights or obligations under these Terms without HYGO Technology's prior written consent. HYGO Technology may assign these Terms in connection with a merger, acquisition, or sale of its business.
